Terms of Service
These Terms of Service ("Terms") form a binding agreement between you and Etica Pro CRM ("Etica Pro CRM", "we", "us", "our"), the multi-tenant SaaS platform operated by Etica Production from Dubai, United Arab Emirates, at https://crm.eticaproduction.com. By accessing or using Etica Pro CRM, you agree to be bound by these Terms. If you do not agree, do not use Etica Pro CRM.
1. Eligibility and accounts
- Etica Pro CRM is intended for use by creator agencies and the staff those agencies authorize. Each subscribing agency is a separate tenant inside Etica Pro CRM.
- You must be at least 18 years old and able to form a binding contract to use Etica Pro CRM.
- Etica Pro CRM accounts are provisioned by an agency owner or admin through the invite flow. You are responsible for the confidentiality of your Etica Pro CRM credentials and for activity under your Etica Pro CRM account.
- You must promptly notify Etica Pro CRM of any suspected unauthorized access at the contact address in Section 15.
2. The Service
Etica Pro CRM is a customer-relationship management and analytics application for TikTok LIVE creator agencies. Etica Pro CRM lets agencies manage their roster of creators, log activities, track deals and tasks, and view performance metrics. Etica Pro CRM integrates with TikTok via the official TikTok Login Kit and Display API; data flows are described in the Etica Pro CRM Privacy Policy.
3. User content and license
You retain all rights in data and content you upload to Etica Pro CRM ("Customer Content"). You grant Etica Pro CRM a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit Customer Content solely as needed to operate and improve Etica Pro CRM for you. Etica Pro CRM does not claim ownership of Customer Content.
4. Third-party platforms
Etica Pro CRM integrates with third-party platforms — currently TikTok via the TikTok for Developers Login Kit and Display API. When you connect a third-party account through Etica Pro CRM:
- You authorize Etica Pro CRM to access the data and perform the actions covered by the scopes you approve at connection time.
- You may disconnect at any time from the creator detail page inside Etica Pro CRM; Etica Pro CRM revokes the access token at the third-party provider and deletes the associated data.
- Your use of any third-party platform remains subject to that platform's own terms, including the TikTok Terms of Service and TikTok Developer Terms.
- Etica Pro CRM is not responsible for the third-party platforms' availability, accuracy, or changes those platforms make to their APIs.
5. TikTok and API usage
Etica Pro CRM uses TikTok's Developer Data and Commercial Tools —
specifically the Login Kit and the Display API — under the
TikTok Developer Terms.
Etica Pro CRM requests only the read scopes
user.info.basic, user.info.profile,
user.info.stats, and video.list. Etica
Pro CRM does not sell, rent, or use TikTok data
to serve advertising, to build profiles of TikTok users beyond
what is necessary for agency analytics inside Etica Pro CRM, or
to train third-party foundation AI models. Etica Pro CRM is
read-only with respect to TikTok content and does not request or
use any posting, publishing, or write scope.
6. Acceptable use
You agree not to:
- Use Etica Pro CRM to violate any law or third-party right.
- Connect a TikTok or other third-party account that you do not own or are not authorized to manage.
- Reverse engineer, copy, or resell Etica Pro CRM except as expressly permitted in these Terms.
- Upload malicious code, attempt unauthorized access, or interfere with the security or integrity of Etica Pro CRM.
- Use Etica Pro CRM to harass, defame, or impersonate any person.
- Use Etica Pro CRM, or data obtained through it, to train competing machine-learning models.
7. Fees and billing
If your Etica Pro CRM plan is paid, fees are billed in advance and are non-refundable except where required by law. Etica Pro CRM may change fees with at least 30 days' notice for the next billing period. Etica Pro CRM may suspend access for non-payment after reasonable notice.
8. Intellectual property
Etica Pro CRM, including all software, designs, and trademarks, is owned by Etica Production and its licensors. These Terms grant you a limited, non-transferable right to use Etica Pro CRM during the term of your subscription and transfer no other rights.
9. Feedback
If you submit suggestions or feedback about Etica Pro CRM, you grant Etica Pro CRM a perpetual, royalty-free, irrevocable license to use that feedback to improve Etica Pro CRM, without obligation to you.
10. Service availability and changes
Etica Pro CRM aims for high availability but does not guarantee uninterrupted service. Etica Pro CRM may modify, suspend, or discontinue features at its discretion; where a change materially reduces paid functionality, Etica Pro CRM will provide notice and a pro-rata refund where applicable.
11. Term and termination
You may stop using Etica Pro CRM at any time. Etica Pro CRM may suspend or terminate your access if you breach these Terms, use Etica Pro CRM in a way that risks harm to us or third parties, or where continued provision becomes regulatorily infeasible. On termination, Etica Pro CRM deletes or returns Customer Data as described in the Privacy Policy.
12. Disclaimer
ETICA PRO CRM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. ETICA PRO CRM MAKES NO WARRANTY AS TO THE ACCURACY OR COMPLETENESS OF DATA RECEIVED FROM CONNECTED THIRD-PARTY PLATFORMS, INCLUDING TIKTOK.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETICA PRO CRM IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE. ETICA PRO CRM'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR ETICA PRO CRM IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO ETICA PRO CRM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
14. Indemnity
You agree to indemnify, defend, and hold Etica Pro CRM, Etica Production, and its affiliates harmless from claims arising from your Customer Content, your use of Etica Pro CRM in breach of these Terms, or your breach of any third-party platform's terms (including TikTok's).
15. Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates, where Etica Production and Etica Pro CRM are established, without regard to conflict-of-laws rules. The courts of Dubai, UAE have exclusive jurisdiction over disputes arising from these Terms or Etica Pro CRM.
16. Changes to these Terms
Etica Pro CRM may update these Terms from time to time. Material changes take effect at least 14 days after Etica Pro CRM notifies you via the Service or by email. Continued use of Etica Pro CRM after a change constitutes acceptance.
17. Miscellaneous
These Terms, together with the Etica Pro CRM Privacy Policy, are the entire agreement between you and Etica Pro CRM regarding the Service. If any provision is held unenforceable, the rest remains in effect. You may not assign these Terms without Etica Pro CRM's written consent; Etica Pro CRM may assign them to a successor in connection with a merger or acquisition.
